KINCAIDE, LTD and KINCAIDE HR SOLUTIONS (COMPANY) DUTIES:

Company will provide professional consulting services as requested by Client. Company shall (i) direct, manage, control, and supervise the services directly covered under this Agreement, (ii) gather and collect the necessary resources (software, support personnel, etc.) related to said services, (iii) communicate the progress of services on a regular basis to Client's management and make appropriate presentations to Officers, Directors, and/or Managers regarding the administration of and issues related to services covered under this agreement, and (iv) make all pertinent consulting services available to all interested parties within Client's organization as deemed appropriate for ensuring that this Agreement is successfully executed.

CLIENT’S DUTIES:

Client is who is listed in this agreement, and who executes this agreement. In order to ensure the success of the consulting services covered under this agreement, Client shall (i) provide necessary administrative and staffing support for all phases of projects covered under this agreement, (ii) provide the necessary facilities for administration of projects, such as photocopy facilities, phones, faxes, and other services while the Company is onsite at Client's location or working virtually via electronic medium, including email, text messages, and any online medium including social media and our website, and (iii) communicate all pertinent facts, issues, and other information to the Company regarding project related work within a reasonable time period. Lack of timely replies can nullify our agreement. .

CONFIDENTIALITY:

Either party to this Agreement, in the course of fulfilling its terms, may need to disclose information to the other party that is proprietary or confidential. When such disclosure is undertaken, the receiving party shall not disclose to others, or use for any purpose of its own, any confidential information obtained from the disclosing party as a result of work done pursuant to this Agreement. This covenant regarding confidential information will apply to any confidential information disclosed before and after the date of this Agreement. .

LIABILITY:

With regard to the services to be performed by Company pursuant to the terms of this Agreement, Company, its officers, managers, employees, advisors, vendors and speakers shall not be liable to Client for loss or damage caused by any acts or omissions in the performance of services, except when said acts or omissions of Company are due to willful misconduct or gross negligence. Client shall hold Company free and harmless from any obligations, costs, claims, judgments, attorneys' fees, and attachments arising from or growing out of the services rendered to Client pursuant to the terms of this Agreement or in any way connected with the rendering of said services, except when the same shall arise due to the willful misconduct or gross negligence of Company and Company is adjudged to be guilty of willful misconduct or gross negligence by a court of competent jurisdiction. .

NOTICES:
Company reserves right to terminate Company without explanation. No guarantees, express or implied, concerning specific results of any advice given, etc. apply. Neither Kincaide, LTD, Kincaide HR Solutions nor its officers, employees, advisors, vendors and speakers or any participants may be held liable for any information, ideas or advice dispensed. Deposits and installment payments are non-refundable, except by specific guarantee terms, if any. This is a 12-Month commitment.
